Wolt Benefits User Terms of Service – Israel
Your use of Wolt Benefits and any of its features is subject to Wolt's User Terms of Service – Israel ("User Terms of Service") and to the supplementary terms and conditions set forth herein (these "Terms"). By using Wolt Benefits, you agree to these Terms, which form an integral part of the User Terms of Service.
For the avoidance of doubt, if there is a contradiction between the Hebrew version of these Terms and the versions in other languages, the provisions in Hebrew shall prevail with respect to services provided in Israel and to use of Wolt Benefits in Israel.
1. Definitions
Terms used in these Terms shall have the meanings ascribed to them in the User Terms of Service, unless expressly defined otherwise herein.
"Budget" means a recurring (e.g., daily, monthly) budget allocated by the Customer Organization to Users to utilize as part of Wolt Benefits, subject to the criteria defined by the Customer Organization.
“Customer Organization” means the organization which has granted you access to the Wolt Benefits Feature or the Wolt Cards, which is a customer of Wolt Benefits.
“Customer Organization Account” means a payment account managed for the Customer Organization by the PSP, from which Payment Orders may be issued on Customer Organization's behalf.
"Essential Component" means a component in the Customer Organization Account, uniquely assigned to the Customer Organization and/or Users, including the Wolt Benefits Feature and Wolt Cards.
"Gift Cards Terms & Conditions" means the Gift Cards and Purchase Vouchers Terms and Conditions – Israel, as amended from time to time in accordance with its provisions.
"Issuer" means the payment service provider appointed by Wolt from time to time to issue the Wolt Cards.
“Order” means an order made by the User through the Wolt Benefits Feature in the Wolt Service, wholly or partially; Orders made through the Wolt Benefits Feature are for the Customer Organization and on its behalf.
"Payment Order" means an instruction by the User, on behalf of the Customer Organization, to execute a payment transaction from the Customer Organization Account, through Wolt Benefits Feature and/or Wolt Cards.
"PSP" means the payment service provider appointed by Wolt from time to time to manage the Customer Organization Account.
"Purchase Agreement" means agreement for the purchase of Partner’s and/or Wolt`s products and/or services and/or other possible services made on an Order. With respect to Orders placed through the Wolt Benefits Feature, the Purchase Agreement forms a binding agreement between the Partner and/or Wolt and the Customer Organization. With respect to Orders placed through any other payment method of the User, the Purchase Agreement forms a binding agreement between Partner and/or Wolt and the User.
“Remainder” means the amount of an Order or purchase made by a User, as applicable, exceeding the Budget.
"User" or "you" means a natural person with an active Wolt user account, who is authorized by the Customer Organization in relation to Wolt Benefits, and which was subsequently approved by Wolt.
"Wolt Benefits" means a service that allows Customer Organization to allocate Budgets for selected Users and to set the criteria for the utilization of the Budgets.
"Wolt Benefits Feature" means the feature of the Wolt Service through which Users can place Orders using their Budgets.
"Wolt Cards" means the cards issued by the Issuer, allowing Users to use their Budgets by making purchases outside the Wolt Service.
2. Description of the Wolt Benefits Service
2.1. As part of the Wolt Benefits service provided to Customer Organization, the Customer Organization is entitled to authorize Users to make purchases on its behalf, for the Users` benefit, in one or more of the forms detailed below (as elected by the Customer Organization):
2.1.1. "WB In-App" – allows Users to place Orders on the Wolt Service, through the Wolt Benefits Feature set in their Wolt user account.
2.1.2. "WB In-Venue" – allows Users to make purchases outside the Wolt Service, using the Wolt Cards. The provision of this service is also subject to the Issuer`s approval and to its terms and conditions, as further described below.
2.2. The Customer Organization is further entitled to manage such Users, the Budgets allocated to them, and the criteria for the utilization of these Budgets, including but not limited to types of merchants, types of purchases, times of purchases, and geographic locations in which the service may be used.
2.3. When using Wolt Benefits, the User must comply with the criteria set for the Budget utilization, as defined by the Customer Organization from time to time, and other conditions set by either the Customer Organization and/or Wolt.
2.4. An Order or purchase may be declined due to various reasons, including due to the lack of approval by the Customer Organization, User exceeded the Budget, an Order or purchase did not comply with the criteria set by the Customer Organization or other conditions set between the Customer Organization and Wolt/PSP/Issuer, as applicable, for the use of Wolt Benefits. The User shall have no claim against Wolt and/or the PSP in connection with a declined Order or purchase, for any reason whatsoever, including any inconvenience or damage that may occur as a result thereof.
2.5. The Customer Organization may suspend or revoke the use of the Wolt Benefits service at any time, such that User will not be able to issue Orders and purchases using the service, as well as modify its terms of use, including the criteria for the utilization of the Budget. The User shall have no claim or demand against Wolt and/or the PSP in connection with any such suspension, revocation, or modification.
2.6. The following provisions apply to the use of WB In-App:
2.6.1. Wolt Benefits Feature, which shall be added to your user account on the Wolt Service upon the successful onboarding of the Customer Organization to the Wolt Benefits service, enables you to issue Orders on the Wolt Service using the Budget.
2.6.2. When selecting a product or service for purchase on the Wolt Service, the User makes a binding Order for the Customer Organization to purchase the product or service through the Wolt Service, in accordance with the User Terms of Service.
2.6.3. When the Order is accepted by the Partner and Wolt has provided the User with such confirmation on behalf of the Partner, the Customer Organization and the Partner enter into a legally binding Purchase Agreement for the purchase of the Partner’s products and other services ordered by the User. In cases where Wolt is the one providing the products and/or services, the Purchase Agreement is entered into with Wolt instead of the Partner. Wolt and the PSP are not responsible or liable towards the User for the execution of the Purchase Agreement by the Partner, and the PSP is not responsible or liable towards User for the execution of the Purchase Agreement by Wolt, in cases where the Purchase Agreement is entered into with Wolt. Wolt will not provide the User with a tax invoice/receipt for amounts which ought to be paid by the Customer Organization, and the Customer Organization may receive the details of the Order and the delivery services as further detailed under Section 9 below.
2.6.4. After the Order has been placed by the User, the Order cannot be withdrawn or cancelled, except as stipulated under the User Terms of Service.
2.6.5. In the event of full or partial cancellation of an Order, the relevant amount shall be refunded to the Budget, subject to the User Terms of Service. Notwithstanding the foregoing, in cases where the relevant amount cannot be refunded to the User (e.g., where the Budget has been expired), the Customer Organization has instructed Wolt to provide the User with a Wolt gift card in the equivalent amount, subject to the Gift Cards Terms & Conditions.
2.6.6. In certain cases, the User may split the payment for an Order between the Budget allocated by the Customer Organization, a personal payment method of the User, and Wolt credits (if available in the User's account), including for the payment of the Remainder. If the User chooses to split the payments as described, the Customer Organization will be charged for the actual usage of the Budget and the User will be charged for the remaining amount to be paid.
2.7. The following provisions apply to the use of WB In-Venue:
2.7.1. If a User was issued a Wolt Card, it enables the User to use their Budget at selected merchants ("Participating Merchants") outside the Wolt Service.
2.7.2. The User may be issued one of the following Wolt Cards (as a digital card, and if elected by the User, also as a physical card), subject to the Issuer's approval:
2.7.2.1. "Wolt Budget" card – a charge card issued by the Issuer to the Customer Organization for the use by the User, enabling the User to utilize only the Budget.
2.7.2.2. "Wolt One" card – a credit card issued by the Issuer directly to the User, combining the properties of the "Wolt Budget" card with a personal credit line from the Issuer. This card allows the User to use both the Budget and their personal credit for transactions, including payment of any Remainder (which shall be paid by the User`s credit line).
2.7.3. Wolt Cards are issued by the Issuer, and their use is governed by the Issuer's terms ("Cardholder Agreements"). The usage of the Wolt Cards may also be subject to terms set by the Participating Merchants. For the avoidance of doubt, execution of a purchase made using a Wolt Card shall be under the Issuer's sole responsibility. In addition, Wolt and the PSP are not responsible or liable towards the User for the execution by the Participating Merchant of a purchase made using a Wolt Card.
2.7.4. Cancellation of a purchase made using a Wolt Card shall be handled and executed by the Issuer, subject to the Cardholder Agreements.
2.7.5. In the event of full or partial cancellation of a purchase made using Wolt Cards, the following provisions shall apply:
2.7.5.1. With respect to the Wolt Budget card, the relevant amount shall be refunded to the Budget, subject to the User Terms of Service. Notwithstanding, in cases where the relevant amount cannot be refunded to the User (e.g., where Budget has expired), the Customer Organization has instructed Wolt to provide the User with a Wolt gift card in the equivalent amount, subject to the Gift Cards Terms & Conditions.
2.7.5.2. With respect to the Wolt One card, the Issuer’s applicable Cardholder Agreement shall apply.
3. Onboarding Process
3.1. To use Wolt Benefits, each User must have a valid Wolt user account on the Wolt Service.
3.2. The User acknowledges that, for the purpose of obtaining Wolt`s and the PSP`s authorizations to use the Wolt Benefits service, Wolt and/or the PSP may, at their sole discretion, conduct certain assessments. To facilitate such assessments, the Customer Organization has provided or may provide Wolt and/or the PSP with relevant information or documents concerning the User, as requested by Wolt and/or the PSP from time to time, including name, identification number, date of birth, gender, address, role within the organization or services provided to the organization, as well as documents received by the Customer Organization from the User from time to time.
3.3. The User undertakes to provide Wolt, either directly or through the Customer Organization, with any documents and information required by Wolt in connection with Wolt Benefits.
3.4. The User undertakes to immediately notify Wolt, either directly or through the Customer Organization, of any changes to the information previously provided to Wolt or the Customer Organization.
3.5. Wolt and/or the PSP may, at their sole discretion, decline the use of the Wolt Benefits Feature by the User, or approve it subject to any conditions and/or limitations, and the User hereby waives any claim in this regard.
3.6. In addition to the above, the use of WB In-Venue, including the issuance and use of the Wolt Cards, are also subject to: (a) the Issuer’s approval of the Customer Organization and User; (b) the Customer Organization and User’s acceptance of the Cardholder Agreements with the Issuer; and (c) the Customer Organization and User provision of any information and documentation as may be required by the Issuer from time to time. The Issuer may, at its sole discretion and subject to applicable law, reject User`s request for the issuance of a Wolt Card, in whole or in part, or approve it subject to any conditions and/or limitations.
4. User Representations
The User acknowledges, represents and warrants as follows:
4.1. The Wolt Benefits Feature is provided to the Customer Organization (and not to the User), for use by the User and for its benefit. The Wolt Budget Card and the Wolt Budget properties of the Wolt One Card are issued by the Issuer to the Customer Organization (and not to the User), for use by the User for its benefit. The User is not the owner of the Wolt Benefits Feature, the Wolt Budget Card, or the Wolt Budget properties of the Wolt One Card, and does not have any signatory authority or any other rights or authorities with respect to the Customer Organization Account.
4.2. In addition, the User is not a direct party to the Customer Organization's agreements with Wolt and/or the PSP and/or the Issuer, and does not have any direct rights by virtue of either, except for the rights explicitly governed under these Terms. Therefore, the User is not authorized to independently issue Payment Orders and does not bear the payments for the utilization of the Budget.
4.3. These Terms do not constitute an agreement for the provision of payment services. Neither Wolt nor the PSP provide payment services to Users as part of the Wolt Benefits service.
4.4. Any use of the Wolt Benefits Feature or Wolt Cards constitutes a request to perform a transaction which the User transfers to the Customer Organization, and is subject to the Customer Organization's approval. Such a request shall be considered a Payment Order only if it meets the criteria for usage of the Budget as determined by the Customer Organization pursuant to Section 2.2 above.
4.5. Wolt shall have the right to deny the User's use of Wolt Benefits without any prior notice to the Customer Organization and/or User, if Wolt suspects that the User uses Wolt Benefits in violation of these Terms, including if the User does not comply with the User Terms of Service.
4.6. The Wolt Benefits Feature is intended for the personal use of the User only and shall not be transferred to any other party. Any use of the Wolt Benefits Feature by a person other than the User may result in an immediate suspension or cancellation of the User's eligibility to Use Wolt Benefits and the User's access to the Wolt Benefits Feature.
4.7. Wolt is not a party to any agreement or arrangement between the Customer Organization and the User, and shall bear no responsibility for their terms, execution or enforcement. The User shall have no claim, right, or demand against Wolt with respect to any such agreement or arrangement.
4.8. The Wolt Cards and/or User account’s credentials or other equivalent information required to access the user account, including any relevant Essential Components, shall be kept confidential and used in a secure manner not accessible by third parties.
4.9. The User shall follow security procedures in order to issue Orders via the Wolt Benefits Feature and make other purchases, as may be required from time to time by Wolt and/or the PSP.
5. Refusal to Execute a Payment Order
5.1. The PSP, at its sole discretion, is entitled to cancel, suspend or refuse to execute any Payment Order, in whole or in part, based on reasonable grounds; or as required pursuant to the PSP`s credit policy; or if the Customer Organization and/or User abuses the Wolt Service or the Wolt Benefits service or cause any harm or detriment to the use of the Wolt Service or the Wolt Benefits service, or to Partners, Participating Merchants, Wolt, the PSP or their employees; or if the User places a false Order or purchase (for example by not paying the Remainder or by not being present on the delivery or collection location to receive the goods); or if the Customer Organization and/or User fail to comply with any applicable terms and conditions, including where the Payment Order does not comply with the criteria for the use of the Budget; or if there is reasonable doubt about the correctness or authenticity of the Payment Order or reasonable concern for the occurrence of money laundering, terrorist financing, fraud or misuse; etc.
6. Cancellation and Suspension of the Wolt Benefits Service
6.1. Wolt and/or the PSP may suspend or cancel the Wolt Benefits service, including the User's access to the Wolt Benefits Feature, and/or restrict its use from time to time, in accordance with the terms agreed between them and the Customer Organization.
6.2. A request to suspend use of the Wolt Cards should be submitted to the Issuer, and Wolt and/or the PSP shall have no responsibility or liability in connection with said suspension.
6.3. The Customer Organization may discontinue or suspend any of its Users' access to and use of the Wolt Benefits Service, at any time, and at its sole discretion.
7. Misuse
7.1. Where it is suspected that User account’s credentials or other equivalent information required to access the User account, including an Essential Component, had been lost or stolen, or any unauthorized person had misused the Wolt Benefits Feature, the User shall immediately inform Wolt thereof, by reaching out by chat to the Wolt customer service.
7.2. The User shall provide the required details and supporting evidence concerning the circumstances of the misuse and the details of the transactions that were allegedly performed during such misuse. The User shall cooperate with Wolt and/or the PSP and shall provide complete and accurate information in this regard.
7.3. An Essential Component shall not be entrusted by the User to any other person, except for safekeeping under reasonable circumstances or to a payee (i.e., Partner and/or Participating Merchant) for the purpose of issuing a Payment Order through the payee. Any transfer of the Essential Component outside of these specified circumstances may result in the loss of the statutory limitation of liability.
8. Term
8.1. User`s right to use Wolt Benefits in accordance with these Terms shall remain in force until the termination of the Customer Organization's agreements with Wolt and/or the PSP and/or the Issuer, as applicable, or earlier upon a notice by the Customer Organization and/or Wolt, save for discontinuation or suspension of the User's access to the Wolt Benefits service by the Customer Organization pursuant to Section 6.3 above.
9. Personal Data
9.1. It is hereby clarified that the provision of personal information which is not required by law to be provided is subject to the User`s will and consent. It is also clarified that failure to provide certain types of personal information, upon the request of Wolt (either directly or through the Customer Organization), may result in the denial of authorization for the User to use Wolt Benefits. The User is also aware that the Customer Organization may be legally required to provide Wolt and/or the PSP with the following details regarding the User: full name, ID number, date of birth, gender, address, and certain information regarding the User for KYC or other legal requirements which may apply in connection with or for the issuance of the Wolt Card.
9.2. Without derogating from the foregoing, it is hereby clarified that any personal information pertaining to the User which may be collected or otherwise received by Wolt in connection with the use of the Wolt Card and the Wolt Benefits, as well as the User Terms of Service and these Terms, including (but not limited to) such personal information that Wolt may receive from the Customer Organization, will be managed and processed by Wolt in accordance with and subject to the Wolt Privacy Statement – Israel.
9.3. User acknowledges and agrees that, without derogating from the provisions of the Wolt Privacy Statement – Israel, Wolt may transfer personal information relating to the User, including details of an Order and of the delivery services, to the Customer Organization, for the purpose of settlements and reimbursement between Wolt and the Customer Organization and/or between the User and the Customer Organization, as well as any such other legitimate purpose consistent with the User Terms of Service and these Terms and the nature of the relationship and the engagement between all the parties involved. For the removal of any doubt, Wolt shall not be liable for any use, act or omission of the Customer Organization in connection with the aforesaid personal information.
10. Limitation of Liability
10.1. To the extent permitted by applicable law, Wolt Benefits is provided "as is" and "as available" without warranty of any kind.
10.2. Wolt and/or PSP shall not be liable for any claims, damages, losses, or expenses arising from or related to the Issuer, including any issues, disputes, or termination of Cardholder Agreements, or any issues or disputes arising from the issuance or use of the Wolt Cards. User acknowledges that Wolt and/or PSP is not involved in the Issuer's decisions, shall not be liable to the Issuer's procedures and conducts and User shall have no claim against Wolt and/or PSP and/or their representatives in this regard.
10.3. Partners and/or Participating Merchants are solely liable for any defects in the contents and preparations of the Order or purchase, as applicable, or other shortcomings in the performance of the Purchase Agreement.
11. Miscellaneous
11.1. In the event of any inconsistency between the User Terms of Service and these Terms, the provisions of these Terms shall prevail.
11.2. Wolt is constantly developing the Wolt Benefits service and the Wolt Service, and may change or remove different parts thereof, in whole or in part and from time to time, including features, products and available Partners and Participating Merchants.
11.3. By using Wolt Benefits and the Wolt Service, the Users may encounter content or information that might be inaccurate, incomplete, delayed, misleading, illegal, offensive or otherwise harmful. Wolt generally does not review content provided by the Partners and Participating Merchants and is not responsible for third parties' content or information, or for any damage arising as a result of the use of or reliance on it.
12. Amendments
12.1. These Terms are subject to amendments.
12.2. Wolt shall publish the amended terms at the Wolt Website. Wolt shall inform the User of any changes that are material by nature on the Wolt Service or by email to the email address submitted to the Wolt Service by the User. If the User does not agree to any amended terms, they must cease using Wolt Benefits. Use of Wolt Benefits constitutes acceptance of these Terms as published on the Wolt Service at the time of placing the Order or making the purchase (as applicable).
